Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Supabrief (the “Service”), provided by {{LEGAL_NAME}}, a company incorporated in India under the Companies Act 2013, having CIN {{CIN}} and its registered office at {{REGISTERED_ADDRESS}} (“Supabrief”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you (“User”, “you”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account or use the Service. The Service is not intended for, and we do not knowingly collect data from, anyone under 18. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Do not share your account, transfer it, or allow others to use it. Notify us immediately at {{SUPPORT_EMAIL}} if you suspect unauthorised access.

3. Subscription plans, billing, and auto-renewal

The Service is offered under a free tier (limited generations) and paid subscription tiers. Pricing for each tier is shown on our pricing page and at checkout. Paid subscriptions are billed monthly in advance through Razorpay (or Razorpay International for non-Indian customers).

Auto-renewal: Paid subscriptions automatically renew at the end of each billing cycle until you cancel. By subscribing, you authorise us to charge your payment method on each renewal date. We will email you a renewal reminder at least seven (7) days before each renewal. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle.

GST / taxes: Prices shown exclude applicable taxes. Indian customers will be charged CGST + SGST or IGST as applicable; we will issue a GST-compliant invoice. You must provide a valid GSTIN at checkout if you wish to claim input tax credit. International customers may be charged IGST under OIDAR rules where applicable.

4. Refund and cancellation

Detailed terms are in our Refund & Cancellation Policy, which forms part of these Terms. In summary: subscription fees are non-refundable once the billing cycle has begun; cancellation prevents future charges but does not refund the current period. Access to paid features continues until the end of the cycle for which you have paid.

5. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, which forms part of these Terms. You will not use the Service to:

  • generate content that is illegal, defamatory, infringing, or that violates the rights of others;
  • upload personal data of third parties without their consent;
  • upload regulated data (PHI, payment card data) you are not authorised to share;
  • attempt to extract model weights, reverse-engineer, or train competing AI models on output;
  • circumvent rate limits, free-tier caps, or account restrictions (e.g. by creating multiple accounts);
  • use the Service to send spam or unsolicited communications;
  • violate the upstream terms of our AI providers (Google Gemini, OpenAI), which restrictions flow down to you.

6. Your content; AI-generated output

Your input (the text, files, and integration data you submit) remains yours. You grant us a limited, worldwide, royalty-free licence to process, store, and transmit your input solely for the purpose of providing the Service.

Generated output (briefs, battle cards, press releases, etc. produced by the Service) is yours to use, modify, distribute, and commercialise. To the extent we hold any rights in the output, we hereby assign them to you. You are responsible for verifying the accuracy of generated output before publishing or relying on it.

AI processing: Your input is sent to third-party AI providers (Anthropic Claude, OpenAI, and Google Gemini) to generate output. Their handling of your data is governed by their respective terms; we have selected providers whose API terms currently exclude API inputs from being used to train their models. The provider used depends on your plan and current capacity. See our Subprocessors list for the full breakdown.

7. Intellectual property

The Service, including its software, branding, design, and documentation, is owned by Supabrief and protected by Indian and international intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology except the limited right to use the Service.

8. Privacy

Our handling of personal data is governed by our Privacy Policy. Where you act as a data controller and we act as a data processor on your behalf (typical for B2B customers), our Data Processing Agreement applies.

9. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that AI-generated output will be accurate, complete, or fit for any particular purpose. You must independently review and verify all output before publishing or relying on it.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service in any twelve-month period will not exceed the total fees you paid us for the Service in that period. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

10. Indemnity

You agree to indemnify and hold harmless Supabrief, its officers, directors, employees, and agents against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or any law, or from any content you submit or generate using the Service.

11. Suspension and termination

We may suspend or terminate your access to the Service immediately if you breach these Terms or our Acceptable Use Policy, if your account presents a security or legal risk, or if required by law or by an upstream provider. You may close your account at any time from settings or by emailing {{SUPPORT_EMAIL}}.

12. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. Material changes will be notified by email and/or in-app notice at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be referred to arbitration under the Arbitration and Conciliation Act 1996, before a sole arbitrator mutually appointed by the parties. The seat of arbitration will be {{JURISDICTION_CITY}}, India; the language of arbitration will be English. Subject to the foregoing, the courts of {{JURISDICTION_CITY}}, India will have exclusive jurisdiction.

14. Force majeure

Neither party will be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, internet or telecommunications failure, or third-party service provider outages.

15. Miscellaneous

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, and (where applicable) Data Processing Agreement, constitute the entire agreement between you and Supabrief regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision.
